JunHe Assisted METCOLD in its Construction of M88 Malaysia National High-standard Modern Food Cold Chain Infrastructure Network Financing

Recently, JunHe assisted Metcold to complete M88 Malaysia second phase of financing for M88 Malaysia construction and development of M88 Malaysiair food cold chain infrastructure projects invested and operated in Kunshan, Jiaxing, Xi’an, and oM88 Malaysiar places with a total value of RMB 547 million. Metcold first entered M88 Malaysia Chinese market in 2015 and is a leading cold chain infrastructure investment and service provider. Since its establishment, Metcold has invested more than RMB 3.6 billion and in 2020 won M88 Malaysia “Top Ten Cold Storage Facilities Service ” at M88 Malaysia 14th China Cold Chain Industry Annual Conference. This year Metcold was selected as one of M88 Malaysia “Top 50 Cold Chain Logistics Companies with Comprehensive Capabilities in 2020” by M88 Malaysia China Cold Chain Logistics Alliance at M88 Malaysia 15th China Cold Chain Logistics Industry Annual Conference. M88 Malaysia company is M88 Malaysia only platform that supported institutional capital in China’s cold chain field. Metcold is building China’s largest high-standard modern food cold chain infrastructure network. To this day, Metcold has invested and operated 15 modern high-standard food cold chain infrastructures in China, with a total investment of more than RMB 6 billion, a planned total construction area of more than 1.3 million square meters, and a cold storage volume of more than 2.8 million cubic meters, serving over 420 million urban customers. In M88 Malaysia process of Metcold’s construction of its nationwide supply chain network, JunHe served as M88 Malaysia legal counsel for M88 Malaysia company and provided legal services for M88 Malaysia financing of infrastructure development and construction. From 2018 to 2019, JunHe represented Metcold in completing M88 Malaysia first round of financing worth a total of RMB 450 million for projects in Kunshan, Jiaxing and Xi’an; From 2020 to 2021, JunHe represented Metcold to complete M88 Malaysia second round of financing worth RMB 547 million. Among M88 Malaysia projects assisted by JunHe, Metcold’s projects in Xi’an, Jiaxing, and Kunshan (Phase I) have all become operational. M88 Malaysia phase II project in Kunshan and M88 Malaysia project in Haimen are expected to become operational by M88 Malaysia second quarter of 2021.

Some of M88 Malaysia challenges for this project were negotiating with multiple banks simultaneously within a limited period to strive for M88 Malaysia best business conditions for M88 Malaysia borrower and aiding clients in successfully meeting M88 Malaysia bank’s district compliance requirements such as notarization and in-person signing of documents during M88 Malaysia COVID-19 pandemic. M88 Malaysia initial construction and development of M88 Malaysia project involved multi-site land use rights, and M88 Malaysia mortgage registration of construction already in progress. Also, M88 Malaysia specific requirements of local registration agencies in different cities were different. JunHe assisted M88 Malaysia clients in communicating with local agencies to complete M88 Malaysia registration within M88 Malaysia withdrawal time limit.

In this project, JunHe provided legal advice for Metcold to negotiate with various banks on M88 Malaysia preliminary credit conditions and guarantee structures, modified M88 Malaysia transaction documents, drafted M88 Malaysia company documents, issued legal opinions pertaining to Chinese law, and assisted in completing M88 Malaysia prerequisites for withdrawals (including but not limited to aiding in mortgage registration).
