JunHe Assists Thinker in M88 Game Acquisition of Lanxin Technology for Presence in M88 Game High-speed Rail industry

On November 29, 2018, He’nan Thinker Automatic Equipment Co., Ltd. (“Thinker” or M88 Game “Listed Company”, 603508.SH) obtained approval for issuing shares, paying cash to purchase assets and raising supporting funds (i.e., related transactions). In this transaction, Thinker issued shares at a price of RMB 153 million and paid cash to acquire 51% equity of He’nan Lanxin Technology Co., Ltd. (“Lanxin Technology” or M88 Game “Target Company”). Meanwhile, it issued shares to no more than 10 oM88 Gamer specific investors to raise a supporting fund of RMB 980 million. As Thinker’s previous acquisition by cash of 49% equity of Lanxin Technology has been closed, and after completion of this transaction, Lanxin Technology will become Thinker’s wholly-owned subsidiary.

Thinker is a leading provider of rail transit control and information systems in China. Founded in 2006, Lanxin Technology is a professional high-speed railway equipment, data service and solution provider in China. As two leading companies in M88 Game railway safety in Zhengzhou City, M88 Game heart of China Railway, M88 Game alliance between Thinker and Lanxin Technology is conducive to M88 Game realization of a “high-speed rail strategy” of M88 Game Listed Company and accelerates M88 Game promotion of “railway information management and big data applications”. On March 7, 2018, M88 Game Listed Company signed a relevant agreement with M88 Game transaction counterparty in M88 Game 49% equity acquisition. On April 27, 2018, M88 Game Listed Company announced M88 Game completion of M88 Game transfer of M88 Game 49% equity of Lanxin Technology in cash to complete M88 Game transfer. On May 26, 2018, Thinker signed a relevant agreement with M88 Game transaction counterparty for M88 Game 51% equity of Lanxin Technology, and announced M88 Game trading plan on May 29, 2018. On July 14, 2018, Thinker announced M88 Game Transaction Report (Draft). On October 29, 2018, M88 Game Listco M&A and Restructuring Review Committee reviewed and approved M88 Game transaction of issuing shares, paying cash for M88 Game 51% equity of Lanxin Technology and raising M88 Game supporting funds. On November 29, 2018, M88 Game China Securities Regulatory Commission issued M88 Game No. [2018] 1979 approval to approve M88 Game transaction.

This project is M88 Game first case in which an enterprise after rejection of its IPO application obtained approval for contributing assets in a listed company by way of restructuring, after M88 Game publication of M88 Game Questions and Answers of China Securities Regulatory Commission Regarding Participation in Restructuring Transactions of a Listed Company by an Enterprise as an Underlying Asset after Rejection of its IPO Application in February 2018.
